Anthropic filed public paperwork Monday for an initial public offering that could become one of the largest in history. The company behind the Claude chatbot plans to list on Nasdaq under the ticker ANT. The filing begins a process that could take one of the leading AI labs to the public markets.
Nasdaq listing takes shape
Anthropic filed a Form S-1 registration statement with the U.S. Securities and Exchange Commission. The filing is not yet effective. The company has not decided how many shares it will sell or what price range it will use, so it does not yet set a final valuation or trading date, according to Anthropic’s announcement.
The offering could put Anthropic ahead of OpenAI in becoming a publicly traded frontier-AI company. The Associated Press reported that it may also challenge the record set by SpaceX’s 2026 IPO, although the amount Anthropic will raise remains uncertain.
Fast growth, heavy spending
Anthropic reported more than $16 billion in revenue during the first half of 2026, about 14 times its revenue from the same period a year earlier, the Associated Press reported. The company still recorded an $80.7 billion net loss for the period. A $72.4 billion one-time accounting charge tied to financing agreements made up most of that loss.
Anthropic says it may use proceeds from the offering for infrastructure, acquisitions, and other technology investments. Those plans reflect the substantial computing infrastructure needed to train and operate advanced AI systems.
Safety risks reach investors
The filing also gives public investors a detailed view of the risks Anthropic associates with advanced AI. It warns that malicious actors could use AI models to build chemical weapons, governments could use them to suppress citizens, and models could behave in ways that create catastrophic or existential risks.
To address those concerns in its corporate structure, the filing grants Anthropic’s seven founders 50.1% of shareholder voting power through a special class of shares. It also describes a Long-Term Benefit Trust intended to help keep public safety from being outweighed by short-term financial goals. The SEC filing is available through EDGAR. Later amendments are expected to provide the share count, price range, and proposed timing.
